1. Agreement to Terms

By accessing or using the services provided by Hou Robotics ("Company," "we," "our," or "us"), including our website and any software development services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

2. Description of Services

Hou Robotics provides custom software development services, including but not limited to:

• Mobile application development (iOS and Android)
• Web application development
• Automation tools and workflow solutions
• Analytics platforms and data visualization
• Custom software solutions tailored to business needs

Specific services, deliverables, timelines, and pricing will be outlined in individual project agreements or statements of work.

3. User Responsibilities

When using our services, you agree to:

• Provide accurate and complete information when requested
• Respond to communications in a timely manner to facilitate project progress
• Provide necessary access, materials, and approvals as required for the project
• Use our services only for lawful purposes
• Not engage in any activity that disrupts or interferes with our services

4. Intellectual Property Rights

4.1 Client Work Product

Upon full payment for services rendered, all custom work product created specifically for the client will be transferred to the client, unless otherwise specified in a separate agreement.

4.2 Pre-Existing Materials

Hou Robotics retains all rights to pre-existing tools, frameworks, libraries, and methodologies that may be incorporated into client projects. Clients receive a license to use these materials as part of the delivered solution.

4.3 Company Materials

All content on our website, including text, graphics, logos, and software, is the property of Hou Robotics and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

5. Payment Terms

• Payment terms will be outlined in individual project agreements
• Invoices are due upon receipt unless otherwise specified
• Late payments may incur interest charges as permitted by law
• We reserve the right to suspend work on projects with outstanding balances
• All fees are non-refundable unless otherwise stated in writing

6. Project Timeline and Delivery

Project timelines are estimates provided in good faith based on the information available at the time. Actual delivery dates may vary due to:

• Changes in project scope or requirements
• Delays in client feedback or approvals
• Technical complexities discovered during development
• Third-party dependencies or integrations

We will communicate any significant changes to timelines as soon as they become apparent.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This includes business strategies, technical specifications, customer data, and any other information designated as confidential. This obligation survives the termination of any agreement between the parties.

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. We will correct any defects in our work reported within 30 days of delivery at no additional cost.

8.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOU ROBOTICS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OUR SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Hou Robotics and its founder, Joshua Hou, from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of our services, your violation of these Terms, or your violation of any rights of another party.

11. Termination

Either party may terminate a project agreement with written notice. Upon termination:

• Client shall pay for all work completed up to the termination date
• We will deliver all completed work product upon receipt of final payment
• Both parties shall return or destroy any confidential information

We reserve the right to terminate services immediately if you breach these Terms or engage in illegal or unethical conduct.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the parties agree to submit to binding arbitration.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms, together with any project-specific agreements, constitute the entire agreement between you and Hou Robotics regarding the use of our services and supersede all prior agreements and understandings.
